Projects
  • Representing the interests of a large Russian metallurgical company in a long-standing and precedent-setting dispute over the ownership of the company's shares and the recovery of losses for the alienation of shares. Managed to win the case in the Arbitrazh Court of the Volga-Vyatka Region and fully defended the interests of the client. The amount in dispute was about RUB 700 million.
  • Representing the interests of the bank and its subsidiary as majority and minority creditors in one of the largest bankruptcy proceedings in the Krasnoyarsk Region.
  • Representing a large businessman in a bankruptcy case of a plant. Implementation of a strategy aimed at preventing transferring its claims to the debtor.
  • Participation in preparation of a legal opinion and development of a strategy for a large Kazakh bank on collecting multimillion-dollar debts of a Russian businessman and foreclosure on his assets in Russia and abroad, including Cyprus, Montenegro, Serbia.
  • Representing the interests of a beneficiary of a large Russian agricultural business in structuring a joint venture with a French company.
  • Representing a client in a project to regain control of a major Russian regional bank, which the majority shareholder lost as a result of a corporate conflict with the bank's minority shareholders.
  • Representing a large Russian investment company in a corporate conflict against the majority shareholder of a large retail business. As part of the corporate conflict, different proceedings in the Cyprus court and in the Russian courts were initiated. As a result of the proceedings in Cyprus and Russia, the client, together with the partner banks, gained full corporate control over the retail business group.
  • Representing a large construction company acting as a creditor in a bankruptcy case.
  • Drafting a legal opinion on the buyer’s risks of challenging of the purchase price of a stake in a company. The buyer was a major Russian telecommunications company. Developed a negotiation strategy for the client.
  • Representing a large Internet bank in the Arbitrazh Court of the city of Moscow in the case on recovery of losses caused by former top managers of the bank. The amount in dispute was more than RUB 150 million.
  • Conducting an independent investigation of a scheme of unlawfully withdrawn assets of a major Russian non-ferrous metals’ manufacturer, development of a litigation strategy to protect the company's interests, including mechanisms for recovery of damages caused by illegal withdrawal, before Russian courts, Swiss courts and the ICAC. As a result, the client concluded a settlement agreement on favorable terms.
  • Representing a Russian businessman in a dispute in the London Court of International Arbitration (LCIA). The claimant asked for recovery of losses caused by breach of an option agreement against a majority shareholder of a large Russian transport business. The amount in dispute was approximately USD 50 million.
  • Representing an Italian distributor of electricity and gas in a dispute against a Russian bank for the recovery of debts and penalties amounted to 350,000 euros.
  • Representing a group of majority beneficiaries of one of the largest Russian drug manufacturers in a corporate conflict with minority beneficiaries. The dispute was initiated in a Cypriot court. The conflict was resolved by conclusion of a settlement agreement on terms favorable for the client.
  • Development and implementation of a strategy to protect the interests of the shareholder of the largest Russian Internet retailer who applied to the LCIA with a claim against the majority shareholder to buy out the shares.
  • Protecting the interests of a new shareholder of a public IT holding in a corporate conflict. Recovery of damages, challenging the transactions, changing unfriendly governing bodies in subsidiary structures, bringing the former management to liability.
  • Representing the interests of a minority shareholder of a large Russian agricultural holding in courts. Submission of claims to exclude the majority shareholder from the group companies in connection with gross violations of the corporate governance standards.
  • Development and implementation of a strategy for gaining control in the largest ceramic tile manufacturing company. Protecting the interests of the Client in Russian courts and foreign arbitrations, accompanying bankruptcy procedures, structuring a settlement agreement governed by English law.
  • Creation of a joint venture with the Irish State Bank in order to search and return stolen assets. Challenging the transactions on the illegal alienation of assets, support of bankruptcy procedures.
  • Development and implementation of a strategy for a systemically important Russian bank to recover debts from a person who hid assets in the United Arab Emirates. Search for assets and development of a legal position on recognition and enforcement of decisions of Russian courts in the United Arab Emirates.
  • Prevention of the raider seizure attempt and potential bankruptcy of the Russian city-forming metallurgical enterprise. Successful protection of the interests of the Client in the Russian courts and return to the Client of damages illegally collected from him.
  • Appeal against court decision of the general meeting of shareholders of a large machine-building corporation in defense of the rights of a minority shareholder, establishing control over the enterprise, structuring an agreement governed by English law on the buy-out of shares and termination of judicial procedures.
  • Development of a strategy to protect the interests of the Client in the LCIA against the claim of the largest French bank for recovery of damages in connection with the failure of the Client to execute an option agreement. Legal support of negotiations and mediation procedures with the French party, structuring and signing a settlement agreement for the Client.
  • Protecting the interests of the creditor of the company owning the license to develop a large gas field. Signing a settlement agreement with an unfriendly major lender - CLN holder, the acquisition of a gas field in the property. The sale of an asset to the largest Spanish oil and gas company for more than 250 million euros.
